These Terms of Service ("Terms") govern your use of VoiceSpend (the "App"). By using the App, you agree to these Terms. If you do not agree, please do not use the App.

1) About VoiceSpend

VoiceSpend is a voice-first expense tracker that uses AI to transcribe and parse your spoken expenses into structured transactions. The App stores your expense data on your device and, optionally, in your personal iCloud account. We do not operate a cloud database for your financial data.

2) Eligibility & use

VoiceSpend does not require you to create an account. You must be legally able to enter into these Terms and comply with all applicable laws when using the App.

3) License and acceptable use

We grant you a limited, non-exclusive, non-transferable license to install and use the App on Apple devices that you own or control, subject to these Terms. You agree not to:

• reverse engineer, decompile, modify, or resell the App;
• use the App in violation of any applicable law or third-party rights, including privacy and intellectual property rights;
• use the App for unlawful, harmful, or deceptive purposes.

4) Your content

You own the expense entries, accounts, categories, tags, and other data you create using VoiceSpend ("User Content"). VoiceSpend does not claim ownership of your User Content and does not store it on our servers.

You are responsible for managing, exporting, and backing up your content. When you use Voice Dictation, your audio is processed transiently through our backend and is not permanently retained. See our Privacy Policy for details.

5) Subscriptions, trials, and billing

VoiceSpend offers a free tier with lifetime AI Minutes and image analysis allowances, and paid subscriptions (Pro Monthly, Pro Annual, Power Monthly) with monthly AI Minutes and image analysis allowances. Pricing, features, and billing terms are presented through Apple's App Store purchase flow at the time of purchase.

• Billing: Managed by Apple via your Apple ID.
• Auto-renewal: Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period.
• Manage or cancel: iOS Settings → [your name] → Subscriptions.
• Refunds: Handled by Apple at reportaproblem.apple.com.

If a subscription ends or is canceled, your AI Minutes and image-analysis allowances will revert to the free lifetime balances (or zero if already exhausted). Manual entry remains free on all plans.

6) Privacy

Your privacy is important to us. Our Privacy Policy explains how we process information, including audio processing, subscription counters, and website analytics.

7) Third-party services

The App relies on Apple technologies and services (such as iOS, StoreKit, iCloud, and App Store services) and on OpenAI's API for voice transcription and expense parsing. Your use of third-party services is subject to their own terms and policies.

8) No warranties

The App is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee that the App will be error-free, uninterrupted, or compatible with all devices.

9) Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, revenue, or profits arising from your use of the App. Our total liability for any claim will not exceed the greater of (a) the amount you paid for the App during the 12 months preceding the claim, or (b) USD $10.

10) Indemnity

You agree to indemnify and hold us harmless from claims arising out of your misuse of the App, your User Content, or your violation of these Terms or applicable law.

11) Changes, suspension, and termination

We may update or modify the App, suspend access, or discontinue features at any time. We may also update these Terms by posting a revised version with a new "Last updated" date. Continued use of the App after changes means you accept the updated Terms.

12) Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Courts located in Metro Manila, Philippines shall have exclusive jurisdiction.
